     Introduction

     Bidding is another form of trading in international business. When enterprises, utilities as well as governments are in need of certain materials, products or planning to build a project they often invite people to bid. With the development of international trade, more and more kinds of business are involved in this type of trading, ranging from contracting a big project to importing a kind of commodities.
     Commercial advertising¹ is one of the key means to expand trade. It is essential when seeking markets and promoting sales.

     In accordance with the Loan Agreement between Chinese Government and the Asian Development Bank (ADB) for ANQING Acrylic Fibre Project, Sinopec Int'L now invites bids from eligible² suppliers from member countries of ADB for the supply of the following Goods to be financed with the proceeds of ADB:

     DCS Systems for Acrylonitrile and Acrylic Fibre Units (Package No.11)
     Refrigeration Equipment (Package No.20)
     Stretch-Breaking Machines (Package No.21)
     Primary Gill Box, Balling Gill Box (Package No.22)

     (For Package No.11, only the eligible bidders⁴ who have signed the secrecy⁵ agreement with BP Chemicals America, Inc., can obtain the bidding documents and are entitled to bid.)

     Interested eligible bidders who are willing to participate in the bidding may obtain detailed⁶ information from the address below and inspect the bidding documents. A set of bidding documents may be purchased in the 4th floor at the address below between 9:00 am and 11:00 am (Sundays and holidays excepted) from February 16, 1998 or be promptly⁷ dispatched by express mail upon receipt of nonrefundable payment of FEC (RMB) 1,200 Yuan (or US $200) plus US $50 postage fee.
     The bids should reach the address below before 16:00 on March 22, 1998 and will be opened publicly by Sinopec Int'L at 9:00 am on March 23, 1998. Each bid package must be submitted in separate sealed envelopes and be accompanied by a bid bond. Those bids which are not accompanied by a bid bond will not be accepted.
     Bids will be opened in Rm. A0401 at the address below.

     (TENDER TITLE - SUPPLY OF DRILLING TOOLS)

     You, are hereby invited by GALL¹² Petroleum Development (Purchaser) to submit a Tender for the above Goods and services, in accordance with this Letter of Invitation and the Invitation to Tender Documents transmitted herewith. It is understood that if your Tender is accepted, Purchaser will issue a Purchase Order on the Terms and Conditions contained in this Invitation to Tender and your offer, for the provision of DRILLING TOOLS and associated equipment and services. One copy of the Invitation to Tender Documents is enclosed herewith and comprises:

     Section A - Instructions to Tenderer
     Section B - Form of Tender
     Section C - Conditions of Purchase

Summary of Work

     The Goods and services, described in this Invitation to Tender agreement is to provide drilling tools and ancillary¹³ equipment / services in support of Purchasers drilling activities in contract area 15/23 offshore¹⁴ People's Republic of China in the South China Sea. The firm Scope of Supply will be for the provision of drilling tools and ancillary equipment / services with an option for standby tools at a later date. The intended date for spudding the firm well is early November 1998.

     Provisions are briefly¹⁵:

     - provision of fishing tools
     - provision of back up fishing tools
     - provision of standby tools running tools
     - provision of service engineer (optionally)

     If you cannot or do not wish to submit a Tender for the services described in this Invitation to Tender then please return the documentation to us in accordance with the requirements of the Instructions to Tenderers stating that you do not wish to submit an offer.

Tendering Details

     You are requested to check the contents of the Invitation to Tender package for completeness when you receive it and then return the enclosed Tender Acknowledgment.

     Tenders shall be submitted in accordance with the Instructions to Tenderers and Form of Tender. Any deviation¹⁶ from the requirements of these Instructions may render your Tender invalid¹⁷.

     Your Tender must be received no later than 12.00 hours on Friday, 3rd July, 1998 (closing date) at the office of the Purchaser in Shenzhen, People's Republic of China.

     Tenders shall be forwarded by courier service or delivered safe-hand, sealed and clearly addressed and marked on the outside in accordance with the Instructions to Tenderers.

     Please note that uninvited visits to our offices to discuss the Invitation to Tender are not acceptable and that all contact shall be in writing (by letter or fax) as set out in the Instructions to Tenderers.

     The Tenderer shall consider this Letter of Invitation and the enclosed Invitation to Tender documents to be confidential¹⁸, and the contents shall not be divulged¹⁹ to any person or persons not directly concerned with the preparation of the Tender.

     This Invitation to Tender is subject to your signing and returning to the Purchaser the Tender Acknowledgment contained within Section A.
